Terms of Service

The contract between you and Omega Ex, Inc. It is also the licence for the desktop app.

These Terms are a contract between you and Omega Ex, Inc., a Delaware corporation at 58336 Overseas Highway, Marathon, Florida 33050 ("Omega EX", "we", "us"). They cover the Omega EX desktop application, the hosted workspace, and this website (together, the "Service").

By installing or using the Service you accept these Terms. If you do not accept them, do not use the Service.

Section 1

Who may use it

You must be 18 or older and able to form a binding contract. The Service is for your own work. One account per person, and you may not share your credentials. You may install the app on the personal devices you use.

You may not use the Service if you are barred under US sanctions or export law, or located in an embargoed region.

Section 2

Your licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Service while these Terms are in effect and any fees are paid.

You may not: copy, sell, rent, sublicense, or redistribute the Service; reverse engineer it except where law forbids that restriction; remove notices; use it to build a competing product; circumvent limits or safety controls; or let anyone else use your account.

The Service, and everything in it other than your content, remains ours. Third-party open source components are licensed under their own terms.

Section 3

What the Service does, and what it will not do

Omega EX takes actions on your computer and on accounts you connect, at your instruction. Understand three things before you rely on it.

It runs commands and takes actions. The assistant can open files and applications, run a limited set of vetted commands, and act on accounts you connect. It refuses a fixed list of dangerous commands outright, and asks you to confirm anything else that is not on its safe list. Your confirmation is a real decision. Read it before you approve it.

AI output can be wrong. The Service uses AI models. Output can be inaccurate, incomplete, or confidently wrong. It is not legal, medical, financial, tax, or professional advice. Check anything that matters before acting on it, and do not use the Service where an error could cause injury, serious loss, or where the law requires a licensed professional.

It is not for regulated categories. Do not put protected health information into the Service. See our Acceptable Use Policy.

Section 4

Your content

You own your content, meaning what you put in and what the Service produces for you from it. We claim no ownership.

You grant us only the licence we need to operate the Service for you: to store, process, and transmit your content to run the features you use, keep the Service secure, and provide support. That licence ends when you delete the content or your account. It does not include any right to use your content to train, fine-tune, or evaluate AI models, and we do not do so.

To produce answers, your content is sent to the AI providers listed on our Subprocessors page. That is inherent to the product.

Feedback you send us we may use freely and without obligation.

Output is not guaranteed unique. AI systems can produce similar output for different people, and we make no claim of exclusivity in what is generated.

Section 5

Your responsibilities

You are responsible for everything done through your account, for keeping your credentials safe, and for complying with our Acceptable Use Policy, which is part of these Terms.

Recording. If you use meeting capture, you are responsible for telling other participants and obtaining the consent the law requires where each of them is located. Many US states require every party's consent. We give you an indicator and a disclosure prompt; the legal obligation is yours.

Connected accounts. When you connect an account, you confirm you are entitled to do so and to let the Service act on it. Your use of those services stays governed by your agreements with them.

Permissions. The app asks for macOS permissions such as the microphone and accessibility access to work. You choose whether to grant them, and you can revoke them in System Settings at any time.

Section 6

Fees

There is no paid plan today, and we do not charge for the Service. There is nothing here about renewals, trials, refunds, or taxes because none of it applies yet.

If we introduce a paid plan, we will publish its terms on this page before it takes effect and give you notice. Nothing you are already using becomes chargeable without your agreement.

If you bring your own AI provider keys, usage on those keys runs on your account with that provider, under your agreement with them, and is billed to you by them. We never see or bill that usage.

Section 7

Availability

We aim to keep the Service running but do not promise it will be uninterrupted or error free, and no uptime commitment applies unless we have signed one with you separately. We may change, suspend, or discontinue features, and will give reasonable notice of a material removal where we can.

The desktop app depends on services outside our control, including AI providers and your operating system. Their outages and changes may affect it.

Section 8

Suspension and termination

You may stop at any time, and may delete your account from inside the app, which erases your data as described in the Privacy Policy.

We may suspend or terminate your access if you materially breach these Terms or the Acceptable Use Policy, if required by law, or to protect the Service or other users. Except where the breach is serious or unlawful, we will give notice and a chance to fix it first.

On termination your licence ends. Export your data before you delete your account, because we cannot recover it afterwards.

Section 9

Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.

We specifically do not warrant that AI output is accurate, complete, current, or suitable for any purpose, or that the Service will meet your requirements or run without interruption or error.

Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

Section 10

Limitation of liability

To the fullest extent permitted by law:

  • Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity, even if advised such damages were possible.
  • Our total liability for all claims in any 12-month period will not exceed the greater of (a) the amounts you paid us in the 12 months before the event giving rise to the claim, or (b) one hundred US dollars (USD 100).

These limits do not apply to liability that cannot be limited by law, including fraud, wilful misconduct, or death or personal injury caused by negligence.

You accept that these limits reflect a reasonable allocation of risk and are an essential basis of this agreement. Without them we could not offer the Service at these prices.

Section 11

Indemnity

You will defend and indemnify us against claims, damages, and reasonable costs arising from your content, your use of the Service, your breach of these Terms or the Acceptable Use Policy, your recording of other people, or your violation of anyone's rights.

We do not indemnify you for claims that AI output infringes someone's rights. AI systems can produce output resembling existing work, and you are responsible for checking what you publish or rely on.

Section 12

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules.

Informal resolution first. Before filing anything, contact us at [email protected] and give us 30 days to resolve it.

Arbitration. If we cannot resolve it, any dispute will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Delaware, before one arbitrator. Judgment may be entered in any court of competent jurisdiction.

Exceptions. Either of us may bring a claim in small claims court, and either of us may seek injunctive relief in court to protect intellectual property or confidential information.

Class action waiver. Disputes are resolved individually. You and we each waive any right to bring or participate in a class, collective, or representative action, and to a jury trial where arbitration applies.

Your right to opt out of arbitration. You may opt out by writing to [email protected] within 30 days of first accepting these Terms, or within 30 days of any change to this section. Opting out does not affect anything else here, and we will not treat you differently for it.

Time limit. Any claim must be brought within one year of when it arose, except where law forbids that limit. Each side bears its own costs and fees unless the arbitrator or a statute says otherwise.

Section 13

Apple

Where you obtain the app through Apple:

  • This agreement is between you and Omega Ex, Inc. only, not with Apple, and we alone are responsible for the app and its content.
  • Apple has no obligation to provide maintenance or support.
  • If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation and any other claims are our responsibility.
  • We, not Apple, are responsible for product liability claims, claims that the app fails to meet legal requirements, and claims under consumer protection or similar law.
  • We, not Apple, are responsible for investigating and resolving any third-party intellectual property claim about the app.
  • You confirm you are not in an embargoed country and not on a US prohibited parties list.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Section 14

General

Changes. We may update these Terms and will post the new version here with a new date. For a material change we will give at least 30 days notice by email and in the app. Continuing to use the Service after a change means you accept it; if you do not, stop using it and cancel.

Assignment. You may not assign these Terms. We may assign them to a successor in a merger, acquisition, or sale of assets.

Entire agreement. These Terms, the Privacy Policy, and the Acceptable Use Policy are the whole agreement between us about the Service.

Severability. If a provision is unenforceable, the rest stands.

No waiver. Not enforcing something once does not waive it.

Force majeure. Neither of us is liable for delays caused by events outside reasonable control.
